1. How to read this
These terms were written to describe this product accurately, in language you can check against what the software actually does. Where a clause says a suspended workspace keeps its data, or that no AI agent moves a skill level, those are descriptions of the code rather than reassurances about it.
They have not been reviewed by a lawyer. If you are evaluating PDP Quest for an organisation and your legal team needs something more formal — a signed agreement, a DPA, or terms adapted to your jurisdiction — ask, and we will work from these.
2. Who is agreeing to what
These terms are between Hovik Tamazyan, trading as PDP Quest (“we”, “us”), and the organisation that opens a workspace (“your organisation”). By opening a workspace, or by signing an order that refers to these terms, your organisation accepts them and confirms that the person doing so is authorised to bind it.
If you are an individual who was invited into a workspace, these terms govern your use of the service, but you are not the customer. Your organisation is. It decides who is invited, what each role may see, which features and AI agents are switched on, and what happens to the records held about you. Where these terms give a right to “your organisation”, that right is not yours to exercise directly — ask your workspace administrator.
3. What the service is
PDP Quest is a hosted employee skills assessment and development platform, delivered over the web. It provides a skills taxonomy your organisation owns and edits, short timed assessments that verify a claimed level, development plans built from goals and submitted evidence, feedback and review workflows, and reporting across teams.
The service includes AI features, provided under the plan your organisation is on: generated assessment questions, drafted development plans and exercises, summarised feedback, and a voice interview. Output is generated by a model and is presented for a person to review, edit or discard. Assessment scoring is not performed by AI; it is a fixed rule applied identically to everyone. Administrators can switch each AI feature off.
Each customer organisation is served on its own address and its data is held in its own separate database. We provide the service as it exists at the time you use it. We add to it and change it, and we may withdraw a feature — we will not remove one your organisation is materially relying on without telling its administrators first.
We do not guarantee uninterrupted availability. The service needs maintenance, and the internet between us is not ours. Where we have agreed a specific availability commitment in an order, that commitment governs and this paragraph does not reduce it.
4. Accounts, access and security
Your organisation's administrators create and remove accounts, assign roles, and are responsible for who holds access at any moment — including removing people who leave. We act on the permissions your administrators configure; we do not independently judge whether a given person should see a given record.
Sign-in credentials are personal. Do not share them, and tell your administrator promptly if you believe an account has been compromised. Your organisation is responsible for what is done through its accounts, other than where we are at fault.
We may suspend an individual account immediately, without notice, where we reasonably believe it is being used to attack the service or to access data it has no right to. We will tell your organisation's administrators when we do.
5. Your organisation's data
Everything your organisation puts into the service is and remains its property: the taxonomy it edits, the people it invites, the assessments taken, the plans written, the evidence submitted, the feedback given, and everything derived from those. We claim no ownership of any of it.
We hold that data to operate the service for your organisation and on its instructions. We do not sell it, we do not use it for advertising, and we do not use it to train machine-learning models — neither ours nor a supplier's. How personal data is handled, and by which processors, is set out in the Privacy Policy, which forms part of these terms.
Your organisation can ask for an export of its data at any time while its workspace is active. On request we will delete it; see the termination section for what happens by default, which is not deletion.
6. Acceptable use
Do not use the service to break the law, to infringe anyone's rights, or to store material you have no right to store. Do not attempt to reach another organisation's workspace, to bypass permissions inside your own, to probe or attack the infrastructure, or to scrape it at a scale it was not built for.
Do not resell access, and do not use the service to build a competing product. Do not upload malware, and do not use the AI features to generate material that would be unlawful or that targets an individual.
The assessments and the skills content we supply are licensed to your organisation for use inside its own workspace. They are not licensed for redistribution, resale, or use as training data.
7. AI features
The product uses AI agents to draft: assessment questions, development plans, palette suggestions, feedback coaching and similar. Every one of them is scoped to a specific job, is logged, and can be switched off by an administrator. What each agent does is listed in the back office.
Two limits are structural rather than promises. Agents draft; they do not decide. Assessment scoring is mechanical — a fixed pass mark against a fixed answer key — and no agent grants, withholds or alters anyone's verified level. And where your organisation supplies its own AI provider key, calls are made with that key, on its account and subject to that provider's terms.
AI output is a draft and can be wrong. Your organisation is responsible for reviewing anything an agent produces before relying on it, and particularly before it informs a decision about a person. We do not warrant that generated content is accurate, complete or suitable for a given purpose.
8. Decisions about people
The service records what people can demonstrate. It is not a performance management system and is not designed to produce ratings, rankings for pay, or grounds for dismissal.
If your organisation chooses to use data from the service in an employment decision, that decision is your organisation's alone, and it is responsible for making it lawfully — including any obligation to inform, consult or provide a route of appeal. We provide the record; we do not provide, and cannot support, a judgement about a person's employment.
9. Fees
Fees, the billing period and any committed term are those set out in the order your organisation signed. Where no fee has been agreed in writing, access is provided free of charge and may be withdrawn on reasonable notice.
Fees are exclusive of any applicable taxes. Invoices are payable within the period stated on them. We may suspend a workspace for non-payment that remains unresolved after we have told your organisation's administrators and given them a reasonable opportunity to fix it.
10. Suspension and termination
Your organisation may stop using the service at any time, and may terminate in line with whatever term its order sets. We may suspend a workspace for non-payment, for a breach of the acceptable use section, or where continuing to serve it would put the service or other customers at risk.
A suspended workspace is switched off, not emptied. Sign-in stops working and the address shows a notice saying so; every record stays exactly as it was, and everything is available again the moment the workspace is restored. We do not delete a customer's history as a consequence of suspension — a lapsed subscription is not a reason to destroy a company's record of its own people.
Deletion is a separate, deliberate act. On written request from your organisation, or a reasonable period after the relationship ends, we will delete its workspace and its data, and confirm when we have. Backups age out on their own cycle.
11. Our intellectual property
The service itself — the software, the design, the brand, the standard skills taxonomy we ship, and the assessment content we supply — belongs to us or to our licensors. Nothing in these terms transfers any of it.
Your organisation gets a non-exclusive, non-transferable right to use the service for its own internal purposes for as long as its agreement runs. Feedback you send us about the product we may use freely to improve it, with no obligation and no claim arising.
12. Confidentiality
Each of us may learn things about the other that are not public. Neither will disclose the other's confidential information except to people who need it to perform this agreement and who are bound to keep it confidential, or where the law requires disclosure.
Your organisation's data in the service is its confidential information. This obligation continues after the agreement ends.
13. Warranties and disclaimers
We warrant that we will provide the service with reasonable care and skill, and that we have the right to provide it.
Beyond that, and to the extent the law allows, the service is provided as it is. We do not warrant that it will be uninterrupted or error-free, that it will meet a requirement we have not agreed in writing, or that any AI-generated content is accurate. Nothing here excludes liability that cannot lawfully be excluded — including for death or personal injury caused by negligence, or for fraud.
14. Liability
Neither party is liable to the other for indirect or consequential loss, for lost profits, lost revenue or lost goodwill, or for loss of data to the extent it could have been avoided by the other party keeping its own copy.
Each party's total liability arising out of this agreement in any twelve-month period is limited to the fees paid or payable by your organisation for the service in that period. Where the service is provided free of charge, that limit is the amount permitted by law and no more.
These limits do not apply to your organisation's obligation to pay fees, to either party's breach of the confidentiality section, or to liability that cannot lawfully be limited.
15. Changes to these terms
We may change these terms. Where a change materially reduces your organisation's rights, we will tell its administrators before it takes effect and give them a reasonable period to object; if they object and we cannot agree, either of us may end the agreement without penalty for the remainder of the term.
Minor changes — clarifications, corrections, changes reflecting a new feature — take effect when published. The date at the top of this page is the date of the current version.
16. General
This agreement, together with the Privacy Policy and any order your organisation has signed, is the whole agreement between us on this subject. Where an order and these terms conflict, the order governs.
Neither party may assign this agreement without the other's consent, except to a successor of substantially the whole of its business. If any provision is held unenforceable, the rest continues. A failure to enforce a term is not a waiver of it.
This agreement is governed by the law of the Republic of Armenia, and the courts of the Republic of Armenia have exclusive jurisdiction over any dispute arising from it.
